Responsible Investors Model Clauses (RIMCs)

With growing investor interest in responsible contracting and shared responsibility, investors need a way to operationalize this approach to their investments.
In response, the Responsible Contracting Project in collaboration with the Responsible Investor Model Clauses Working Group, and the American Bar Association Business Law Section, developed model clauses to address HREDD in investment agreements. The clauses provide practical provisions for embedding responsible practices into shareholder agreements, investor rights agreements, purchase agreements, and side letters. Version 1.0 of the clauses is scheduled to launch in fall of 2025. |
